2009 AGM Resolution

BRITISH MOTOR RACING MARSHALS CLUB LIMITED
(No. 962892)  (the “Company”)

SPECIAL RESOLUTION TO BE PRESENTED TO THE AGM OF THE COMPANY ON 13 DECEMBER 2009

EXISTING: Article 3.A. of the Articles of Association states;
“The maximum number of Directors at any time shall not exceed ten”

PROPOSAL: Article 3.A. be amended to read;
“The maximum number of Directors at any time shall not exceed twelve”

REASON:
Article 3.A. states that the Directors of the Company will comprise the three Officer positions (Club Chairman, Club Treasurer and Club Secretary) plus the Regional Chair positions.
The total of these positions is now eleven and the proposal regularises the present position plus allows the appointment of a further Regional Director should the number of Regions expand in the future.

RECOMMENDATION:
The National Council recommends to the membership that the proposal as stated be adopted.
